- Name
The name of the organisation shall be Lothians Conservation Volunteers,
hereafter referred to as LCV. LCV herein is also taken to mean its
successor.
- Aims
LCV shall:
- do work of a practical nature to further wildlife and
countryside conservation in the Lothians and elsewhere.
- co-operate with any other body (with similar aims) to
achieve this.
- promote its own work at meetings, outings, lectures,
classes, seminars, workshops or similar events.
- provide details of work programmes and other events in a
published form.
- accept subscriptions, donations and grants and employ them
to further its aims.
- invest or deposit with a bank, building society or other
reputable financial institution the receipts from subscriptions,
donations and grants until required for the purpose for which they were
given.
- act as a charitable body without making a profit.
- cause or do any other such lawful act conducive to the
attainment of any of the foregoing.
- Membership
- Membership of LCV shall be free and open to anyone between
the ages of 16 and 70. Membership shall mean a person who has attended a
task or outing in the past twelve months and whose name is entered in
the task record sheets. Membership may also be obtained by subscription
to the newsletter 'Puggled Mucker'; which membership shall continue from
year to year as the subscription is renewed.
- In the event of misconduct, a member may be asked to
refrain from participating in any group activities. A decision to do
this may not be taken until the matter has been discussed at a Meeting
and the member in question has been given the right to reply. The
decision of the Meeting shall be final.
- The Membership Secretary shall keep a record of
subscriptions to the Puggled Mucker. The Co-ordinator shall keep the
task record sheets.
- Subscriptions
- Subscriptions shall be for the Puggled Mucker only, and the
rate of subscription shall be fixed by a Meeting.
- Committee
- The Committee shall be made up from the Membership of LCV.
The size of the Committee shall be governed by needs, which shall also
govern the kinds of Committee posts to be operated.
- Committee posts shall be filled when necessary, and by
election if a post is contested. In the event of a contested post, a
secret ballot at a meeting shall be held to elect the successful
nominee. The ballot shall be chaired by a Member who is not a nominee
for the post, and in the event of a tied vote, he or she shall have the
casting vote. All Committee posts shall be reviewed at the Annual
General Meeting.
- A Committee member must retire after one year in office. He
or she may be re-elected to office, automatically, if the post is not
contested, or by a successful ballot.
- Meetings
- A Meeting shall be held each month and the AGM will
coincide with the May Meeting. Dates will be advertised in the Puggled
Mucker. In the event of a contested motion any decision shall be
reached, if possible, by a vote of members either at a Meeting or at the
AGM.
- Minutes shall not be kept, except for the AGM, and these
shall be presented to the following monthly Meeting for approval.
- The AGM shall be chaired by the Co-ordinator, who shall
present an Annual Report in draft form. The Treasurer shall present
Annual Accounts for approval. The Annual Report and Annual Accounts
shall cover the period 1st April to 31st March, and shall be published.
The AGM shall review the past year and make recommendations for the
forthcoming year.
- The quorum of a Meeting or AGM shall be five, but for the
purposes of essential business any Meeting or AGM shall not be
considered inquorate.
- Amendments
- This Constitution may be amended after the proposed
amendment has been agreed by a Meeting and has subsequently appeared in
the Puggled Mucker with the date of the Meeting at which the proposed
amendment is to be discussed. The majority of this second Meeting shall
decide whether or not such an amendment shall take effect. On taking
effect, the Constitution shall be so amended and notice published in the
Puggled Mucker.
- Termination
- LCV may be brought to an end by agreement of the majority
of the membership. In the absence of any directions to the contrary
after a decision has been made to bring LCV to an end, the assets and
property of LCV shall be transferred to the Lothians Branch of the
Scottish Wildlife Trust or its successor.
